Welcome to Festa Design Studio ("Festa," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our websites, applications, tools, and related services. By accessing or using any Festa property, you agree to be bound by these Terms.
If you do not agree with these Terms, please do not use our websites, applications, or services.
These Terms are for informational purposes and do not constitute legal advice. Your organization should consult qualified legal counsel to confirm that your own policies and practices comply with applicable laws.

Festa Design Studio is a design practice founded by Abayomi Ogundipe that supports nonprofits, impact startups, and social enterprises with human-centered, trauma-informed design, project planning, and learning experiences.

2. Scope
These Terms apply to all Festa-operated digital properties, including:
- Our main website at festa.design and all subdomains (including toolkit.festa.design)
- Our web applications, including Logframe App and Zika Alert (collectively, "Applications")
- Forms, feedback tools, newsletters, and waitlists hosted on or linked from these properties
- Educational content, toolkits, and learning resources we publish or distribute
- Email and direct communications relating to these properties
These Terms do not replace any separate written agreement (such as a Design Services Contract) between you and Festa for professional service engagements. If you enter into a separate service agreement with Festa, the terms of that agreement will govern the scope of that engagement. Where a conflict exists between these Terms and a signed service agreement, the service agreement prevails for matters within its scope.
3. Eligibility
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use our services. By using our properties, you represent that you meet this requirement.
If you are accessing Festa properties on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
4. User Accounts
4.1 Account Creation
Certain Festa Applications (such as Logframe App and Zika Alert) may require you to create an account. When you create an account, you agree to:
- Provide accurate, current, and complete information during registration
- Keep your login credentials secure and confidential
- Notify us promptly of any unauthorized use of your account
- Accept responsibility for all activity under your account
4.2 Account Suspension or Termination
We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful activity, or if required by law. We will make reasonable efforts to notify you before or at the time of suspension, except where doing so would compromise security or legal obligations.
4.3 Prototype Applications
Some Festa Applications are designated as prototypes or early-stage products. These applications are provided for testing, feedback, and iterative development purposes. Prototype applications may contain bugs, may change significantly without notice, and may be discontinued. We appreciate your feedback and participation, but we do not guarantee uninterrupted access, data preservation, or feature continuity for prototype applications.
5. Services Overview
Festa offers services across three pillars:
- Plan — Project and Grant Design (fundable program design, theory of change, logframes, budgets, M&E frameworks)
- Build — Communication and Interface Systems (accessible design systems, branding, components, web design)
- Activate — Campaign Strategy and Mobilization (audience segmentation, creative production, conversion-ready campaigns)
Services are available through three engagement levels:
- Sprint (3 months) — Focused engagements for clear decisions and direction
- Engagement (6 months) — Complete, ready-to-use packages built end-to-end
- Partner (1 year) — Ongoing support across grant cycles and organizational growth
All professional service engagements are governed by a separate Design Services Contract that defines scope, deliverables, fees, timelines, and responsibilities. These Terms do not establish a consulting, agency, or professional service relationship on their own.
6. Free Resources and Educational Content
Festa provides certain resources at no cost, including the Setup Your Project for Success toolkit, educational blog posts, templates, and learning materials. These resources are currently offered at no cost and are provided for general information and learning purposes only.
Your use of free educational content is additionally governed by our Education Content Policy, which is incorporated into these Terms by reference.
Festa reserves the right to modify, discontinue, or introduce fees for any resource or content at any time, with reasonable notice where practicable.
7. Acceptable Use
When using Festa properties, you agree not to:
- Violate any applicable law, regulation, or third-party rights
- Use our properties for any unlawful, harmful, fraudulent, or deceptive purpose
- Interfere with or disrupt the security, integrity, or performance of our websites or applications
- Attempt to gain unauthorized access to any system, network, or account
- Scrape, crawl, or use automated tools to extract data from our properties without our written consent
- Upload or transmit malicious code, viruses, or other harmful content
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Use our content, tools, or brand in ways that imply Festa endorses your organization, products, or campaigns without our written permission
- Reproduce, redistribute, or resell Festa content for commercial purposes without prior written consent
8. Intellectual Property
8.1 Festa's Intellectual Property
All content, designs, code, text, graphics, logos, trademarks, and other materials on Festa properties (collectively, "Festa Content") are owned by or licensed to Festa Design Studio and are protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit Festa Content except as expressly permitted by these Terms, our Education Content Policy, or with our prior written consent.
8.2 Your Content
When you submit content to Festa properties (including feedback, form responses, project data entered into Applications, and survey responses), you retain ownership of your content. By submitting content, you grant Festa a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of operating and improving our services.
For Application data (such as logframe projects or monitoring data), you retain full ownership. We will not share your project data with third parties except as necessary to operate the service (for example, cloud hosting providers) or as required by law.
8.3 Feedback
If you provide feedback, suggestions, or ideas about our services, you acknowledge that we may use such feedback without obligation to you.
9. Use of Artificial Intelligence
Festa uses artificial intelligence (AI) tools in certain aspects of its work. This includes using AI for assistance with complex technical tasks such as backend architecture planning, code development, and research synthesis.
AI tools are used to support and enhance Festa's work, not to replace professional judgment. All outputs involving AI assistance are reviewed by Festa's team before being incorporated into deliverables or published content.
When AI tools are used in the creation of educational content (such as AI-assisted desk review for lesson development), this will be noted within the relevant content where appropriate.
You should independently verify any AI-assisted outputs before relying on them for critical decisions. Festa is not liable for errors or inaccuracies that may arise from AI-assisted processes.
10. Third-Party Services and Links
Festa properties may contain links to or integrations with third-party websites, tools, and services (such as survey platforms, analytics tools, or cloud hosting providers). These third-party services are governed by their own terms and privacy policies.
Festa does not control and is not responsible for the content, availability, privacy practices, or security of third-party services. Your use of any third-party service is at your own risk.
A link from or integration with Festa is not an endorsement of the third-party provider.
11. Disclaimers
11.1 "As Is" Provision
All Festa properties, services, applications, and content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Festa disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
11.2 No Professional Advice
Unless you have entered into a separate written service agreement with Festa, nothing on our websites, applications, or educational content constitutes professional, legal, financial, clinical, or regulatory advice. You are responsible for seeking qualified professional advice before making decisions that affect your organization, programs, or beneficiaries.
11.3 Availability
We do not guarantee that our properties will be available at all times, uninterrupted, secure, or free of errors. We may modify, suspend, or discontinue any part of our services at any time without prior notice.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Festa Design Studio, its founder, team members, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with:
- Your access to or use of (or inability to access or use) Festa properties
- Any conduct or content of any third party on or connected to our properties
- Any content obtained from our properties
- Unauthorized access, use, or alteration of your transmissions or content
In no event shall Festa's total aggregate liability for all claims arising from these Terms exceed the greater of (a) the amount you paid Festa in the twelve (12) months preceding the claim, or (b) one hundred United States dollars (USD $100.00).
13. Indemnification
You agree to indemnify, defend, and hold harmless Festa Design Studio, its founder, team members, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of Festa properties
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit to Festa properties
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact Festa at hello@festa.design and attempt to resolve the dispute informally for at least thirty (30) days.
14.2 Mediation
If the dispute is not resolved informally, either party may initiate non-binding mediation before a mutually agreed mediator. The costs of mediation shall be shared equally between the parties, unless otherwise agreed.
14.3 Binding Arbitration
If mediation does not resolve the dispute, it shall be submitted to binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in the State of Maryland, United States. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
14.4 Class Action Waiver
You and Festa agree that any dispute resolution proceedings will be conducted only on an individual basis, not as a class, consolidated, or representative action.
14.5 Small Claims Exception
Either party may bring an individual action in small claims court if the claim falls within that court's jurisdictional limits.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law principles.
16. Privacy
Your use of Festa properties is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. Our Privacy Policy is incorporated into these Terms by reference.
17. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we may also provide additional notice (such as a notice on our website or through email).
Your continued use of Festa properties after the updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you should stop using our properties.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, Education Content Policy, and any separate service agreements, constitute the entire agreement between you and Festa Design Studio regarding your use of our properties and supersede all prior agreements and understandings.
